Terms & Conditions/Legal
All services provided by International Quality Inspections (hereafter mentioned as IQ Inspections) will be governed by the terms and conditions laid out in this document.
Description of Services
IQ Inspections will only perform the services documented and agreed upon in the Description of Services. All specifics listed in the Description of Services will be completed by IQ Inspections. On the day of the audit or inspection, IQ Inspections will only perform the services listed in the Description of Services. If additional services are desired by the Company (for whom the services are being performed), then the Company and IQ Inspections must reach a new agreement and add an addendum or draft a new Description of Services.
Requirements for IQ Inspections
IQ Inspections maintains the right to accept or decline any request for an inspection or an audit. IQ Inspections cannot be held at fault for declining to provide services that are not within its descriptions of services, not within its geographical scope, or not within its normal legal scope. IQ Inspections will hold itself responsible for performing all of its services in a timely and professional manner, complying with all agreements documented in the Description of Services. If IQ Inspections is ever held liable for any claim of damage, extra expense, or loss, IQ Inspections' liability to the Customer cannot exceed three times the amount set forth in the previously agreed upon Description of Services. IQ Inspections reserves the right to make payment in full of said maximum recovery (being three times the service cost) to the Customer herein and upon tender of such payment the Customer, its successor, or assignee agrees that any and all claims of any sort, kind, or nature are settled, paid in full, and that such claim is forever extinguished and is otherwise null and void. In the specific case of shipping inspections, IQ Inspections is only responsible for the samples they inspected. IQ Inspections cannot be held responsible for items they did not inspect. Also specific to shipping inspections, IQ Inspections is not responsible for insuring actual shipment.
IQ Inspections can only be held liable for its inspection and report of the shipment inspection. The Customer does agree to indemnify IQ Inspections of any claims by third parties (including the Factory or Supplier) for any damages, extra expenses, or loss, exceeding the previously determined amount of three times the original total agreed upon in the Description of Services.
IQ Inspections does not accept any liability for the quality of the products made by the supplier. IQ Inspections is a third party that is responsible only for honest inspections and reports to the Customer. Any product issues must be resolved between the Customer and the Customer's supplier. IQ Inspections will not cover expenses of loss or damage done by the Factory. The Company should obtain insurance covering their products if they wish to have those expenses covered. IQ Inspections accept no liability for false information when the false information was provided by a third party. IQ Inspections guarantees to give its best advice and opinion in the reports, but will not accept liability for anything if IQ Inspections had received false information on which their advice was based. IQ Inspections is not responsible for reporting on anything that was not explicitly agreed upon in the Description of Services. IQ Inspections is only liable for fulfilling the entire scope of the Description of Services. IQ Inspections guarantees to always perform to the best of its capacity while on the job and will only accept liability after the claim of damages or loss has been proven by the Company to be the fault of IQ Inspections.
The Factory Audit (or Evaluation) report written and filed by IQ Inspections after inspections and audits will reflect the conditions and findings of the inspection or audit at the place and time of the inspection or audit. The Factory Audit (or Evaluation) report does not release the factory audited or the supplier's whose products were inspected from the factory's or supplier's obligations to the Company.
IQ Inspections respects the confidence that the Company has placed on IQ Inspections and its employees. At all times (unless required otherwise by law), IQ Inspections and all its inspection/audit crews will uphold secrecy concerning the services performedd and the results derived from these services. IQ Inspections will allow only the Company to read the inspection/audit report.
The Company will pay IQ Inspections the full amount agreed upon in the Description of Services. If IQ Inspections is unable to perform the inspection or audit due to a reason not the fault of IQ Inspections, then the Company must reimburse any expenses incurred in the attempt to perform the services. The Company must also release IQ Inspections from any responsibility for not having been able to complete the inspection or audit. If IQ Inspections is unable to initiate or complete an inspection or audit due to a fault on the Company's part, then the Company is expected to pay the agreed upon amount for a "missed inspection" fee. IQ Inspections will completely refund the Company's money if the Company cancels the Description of Services 36 hours before the time the inspection or audit was going to occur. If the Company attempts to cancel the services with less than 36 hours before the time the inspection was going to occur, then the Company will still be charged the complete sum of money agreed upon.
Hours of Work (Hourly Fees)
A standard working day for IQ Inspections' crews lasts nine hours with a one-hour lunch. IQ Inspections does not perform inspections or audits on Saturdays, Sundays, and local public holidays. If special working conditions are required, IQ Inspections will consider a modification of their standard working day. Any modification of working hours will be fully explained in the Description of Services. Overtime work is available upon request. Overtime is in use when IQ Inspections' crews have worked more than eight hours in a working day and 1.5 times the standard rate will be charged. If overtime work on a nonworking day (Saturdays, Sundays, and holidays) is required, then the Company will be charged twice the standard rate. When the location of service is considerably far away, IQ Inspections' crews' work day officially begins upon the initiation of travel to the site of service and officially ends upon the crew's return.
Any translations of these Terms and Conditions in any other language are subordinate to this, the original version written in English. Any legal dispute concerning the Terms and Conditions will be based on the English version.
Any legal issue concerning IQ Inspections falls under the jurisdiction of South Carolina law. Any disputes, disagreements, or suits will be handled in South Carolina courts. These Terms and Conditions are written in accordance to and comply with South Carolina law.
Breach of Description of Services
IQ Inspections reserves the right to terminate the agreement made in the Description of Services if the Company fails any of its requirements laid out in this Terms and Conditions. IQ Inspections also reserves its right to terminate the Description of Services if the Company does not pay for the services for which it has agreed to pay.
IQ Inspections hires professionals who are honest and punctual. If IQ Inspections discovers anything during an inspection or audit that could be deemed as corrupt, IQ Inspections reserves the right to contact the appropriate officials to investigate the Company, supplier, or factory. If the Company believes that the crew from IQ Inspections has participated in something that could be deemed as corrupt, then IQ Inspections will undertake all measures necessary to ensure that any corruption is discovered and terminated.
